I. Acceptance of Terms

Thank you for using our Services and our Platform. These Terms of Use (the “Terms”) are intended to make you aware of your legal rights and responsibilities with respect to your access and use of our Services, and any related software applications that we provide as part of our Services (collectively referred to as the “Services”).

You are kindly requested to read these Terms carefully. By accessing or using the Services, you are agreeing to these Terms and concluding a legally binding contract with Us. You may not use the Services if you do not accept the Terms or are unable to be bound by the Terms. Your use of the Services is an explicit approval and agreement to these Terms.

II. Definitions

1. The Music Mastery

“The Music Mastery” or “Us” or “Our” refers to our entity that provides the Services to the Users

2. Services

We provide our Users with Online Sessions through experienced tutors, in return for a Subscription Fee or a chosen package to be settled by User before accessing the services

3. Session

A Session is a scheduled thirty-minute Online Session

4. Packages

“Package” or “Packages” or “course” is an offer that The Music Mastery has, and User chooses to pay for, in return for what it includes.

5. Service Fee or Subscription Fee

It is the amount of money paid by User for the Services provided by The Music Mastery, depending on the number of Sessions requested by User and the Package offered by The Music Mastery.

6. User

“User” or “You” or “Your” or “the student” refers to you as a user of our Services. A User is someone who agrees to these Terms of Use and accordingly accesses and uses our Services.

7. Creating an Account

“Creating an account” or “sign up” refers to the registration process. After the payment is done, we will create an account for you in our database, where we will be collecting your full name and phone number.

8. Validity Period

“Validity Period” or “package’s valid” refers to the duration of the service of User. Means if this duration passes, service will no longer be able to benefit from the choose package

III. Amendments of the Terms

The Music Mastery may amend or change or update these Terms, from time to time entirely at its own discretion. You shall be responsible for checking these Terms from time to time and ensure continued compliance with these Terms (https://www.themusicmastery.com/terms-of-use). Your use of The Music Mastery’s Services

after any amendment or change in Terms shall be deemed as Your express acceptance to such amended Terms. You also agree to be bound by such amended Terms.

IV. Providing the Services offered by The Music Mastery

1. The Music Mastery is continuously evolving to provide the best possible Services to its Users. Accordingly, You acknowledge and agree that the form and nature of the Services which The Music Mastery provides, may require affecting certain changes.

2. Any amendments, updates or upgrades provided to You by The Music Mastery under these Terms shall be considered part of the Services.

3. By agreeing to use The Music Mastery’s Services, You agree to settle the Subscription Fee as invoiced by The Music Mastery.

4. User acknowledges that anytime between 2 days and 15 days post payment of Subscription Fee, The Music Mastery shall initiate providing their Services to User, depending on availability and schedule of Tutors.

V. Payment and Refund Policy

1. User shall pay the Service Fee or Subscription Fee through any of the following payment methods or platforms:

Money Transfer through Whish Money, OMT service, credit card payment or cash on delivery (If available)

2. In case of any unintentional delay past the 15-days mentioned in Section (IV) above, User may either accept a request from The Music Mastery to extend the initiation date of the Sessions, or may request a refund from The Music Mastery of the total Subscription Fee.

3. Users shall not benefit from any refund in case they decide to terminate their use of the Services prior to the completion of the Services in any package for any reasons including illness, travel & emergency. The Music Mastery will plan for your full journey with all the team members starting from the registration date.

4. Users shall not benefit from any refund if they decide to cancel a scheduled session. If such cancellation is done by User less than 48 hours from the date and time of the scheduled session, then the session will be canceled. If cancellation by User is done before 24 hours from the scheduled Session, then The Music Mastery may propose rescheduling the session. No refund will apply in any of these cases.

5. In case the student delayed/failed to give us enough information to build his plan refers to CGP (custom growth plan) which will be requested from the user as soon as the subscription of the payment happens! The 15 days mentioned in (V.2) shall start as soon as the user completes their CGP. The Music Mastery will try to get in touch with users. In case User fails to reply, shall mean cancellation of the Service at User’s liability, where no refund shall apply.

6. The Music Mastery will offer all tutoring needed for the User to improve (Based on the chosen package) however won’t be guaranteeing any improvement if User doesn’t follow all guidelines provided by The Music Mastery. Music takes time to learn! (Practicing time, technique to be used, material suggestions). If User decides to request a refund for any reasons such as (Wrong Teaching method, inflexible schedule, uncomfortability…), The Music Mastery reserves the right to investigate in the case by looking at the case specifically, asking the User to provide enough proof that he did EVERYTHING we asked about; to decide if a refund could be issued depending on the case. This could take between 7 to 10 business days. The Music Mastery reserves the right to not issue the refund depending on each case with a clear written explanation.

7. User should respect the validity period of any package chosen. In case the User fails to do that, The Music Mastery reserves all the rights to end the package and no refund will be given (After written warning).

8. In some Packages such as group classes, rescheduling the session won’t be an option since other students will be present in the class. Missing the session will be your own responsibility. In case User decides to not attend the Session, and resume later, the validity period of the package should be respected, and no refund will be given if the validity period of the Package ends.

VI. Using The Music Mastery Services by Users

1. You must create an account to use the Services offered by The Music Mastery or the team will automatically be creating it for you. The use of any personal information You provide to Us during the account creation process shall only be used by Us for this Purpose only.

2. You must keep Your password & information confidential, and You are solely responsible for maintaining:

o The confidentiality and security of Your account/information

o All changes and updates submitted through Your account

o All activities that occur in connection with Your account

3. By creating an account/signing up to our services, you represent to The Music Mastery that all information provided to Us in such a process is accurate and correct and that You will update Your information as and when necessary to keep it accurate. You may not impersonate someone else, create or use an account for anyone other than Yourself, provide an email address other than Your own.

4. By agreeing to use the Services, you acknowledge that you are committed to a minimum 10-20 minutes daily practice of your own time and effort, in case you wish to attain acceptable results.

5. Users who wish to attain faster results, are encouraged to buy certain material PROPOSED by The Music Mastery.

6. By signing up to any of The Music Mastery Services, you acknowledge that we’re not responsible for any problem that happens, during or after the session, to the user throughout their journey such as (Personal, psychological, health, vision, auditory problems). Since all the conducted sessions are online, therefore, User is responsible for any issue that may happen. In case the User is under 18, parents are fully responsible to oversee and approve the minor User’s access to our Services.

7. Lessons will be conducted online through platforms such as: Zoom, Google Meet, Video Call and other means. User understands that any connection or external problem shall not be our responsibility. We are ONLY responsible for delivering music information.

8. The Music Mastery might suggest purchasing materials to support the User’s musical journey such as (Musical books, pens, notebooks, piano keyboards, chairs…). User acknowledges The Music Mastery is not obliging them to purchase but rather suggesting. The decision to purchase is strictly the User’s.

VII. The Music Mastery Policies

The Music Mastery code of conduct policies must be adhered to at all times.

Violating these policies could cause serious consequences to you, such as permanent course suspension, temporary investigation, and will directly affect your results.

1. Music Programs:

The Music Mastery offers 2 programs for the music department:

a) Group Sessions Program: The student will be having the sessions with a group of learners in the same classes under the guidance of a professional coach.

b) Private Sessions Program: The student will learn privately with a professional coach together in class.

2. Schedule:

a. The student lessons schedule will be sent after the registration is done, based on a recurring weekly basis for the next sessions.

b. Filling the CGP(custom growth plan) for the administration that will be sent to you after registration is a MUST! Failure to present the CGP information could cause delay in setting up the schedule.

c. The scheduling team will be contacting you (via WhatsApp) to set up the schedule of the lesson after the registration is done. You’re responsible to respond to our messages or get back to us to set up your lessons as soon as possible.

d. In case the student has a really tight schedule, the scheduling team might need additional time to set up the first lessons.

e. In case the student suddenly had a really tight schedule, in the middle of the package, we might need additional time to try to re-set up -if available- a FIX weekly timing to your sessions. (Validity period of the package must be respected)

f. In case the student failed to deliver the CGP after the payment & requested a refund for some reasons (Including unavailability, tight schedules, travel & emergency…), he/she won’t benefit from a refund since the seat was already reserved directly after the payment/registration & all receipts are registered on the system! Therefore, you’re required to IMMEDIATELY start normally with the session set (Unless we were informed that you can’t directly start with the sessions), while respecting the validity period of your package.

g. The Music Mastery reserves the right to switch teachers and schedule at any necessary time, the student will be reassigned an appropriate teacher.

h. In the event of canceling or postponing a class, the student must notify the administration minimum 48 hours prior. The make up for the missed lesson should be given in the same week or the week after or else the lesson is considered given. If by any chance the teacher's schedule is fully booked the possibility to change the lesson's time and date will be most probably impossible

i. In certain packages such as group classes, we will be suggesting a class timing & fix it based on a weekly basis. Missing one or more classes will be your full responsibility, and we will try our best to catch up, but don’t promise to maintain the same results since the classes were missed.

j. To maintain the high quality teaching, freezing subscription is STRICTLY forbidden (including emergency, injuries, travel, exams…) even if the student gave us notice period before. The subscription starts the first day of the SCHEDULED class. If you weren’t able to attend the class, he/she reserves the full responsibility for the missed class. The student must complete his package in full under any circumstances, respecting the validity period of his package.

3. Student's Absence:

a. All students are expected to attend their lessons before 5 minutes to avoid any problem that could happen to get in touch with us, if so.

b. We are not responsible for any problem that happens with the student such as (Late in traffic, late at work, clicking wrong Zoom links, tiredness, school/university exams, Internet connection, device errors…), so if a student is late for their lesson, the teacher will only give him/her the remaining time of the lesson and no extra time will be added.

c. In case of a change in the schedule, the validity period of the packages must be respected! If the students couldn't make up for a postponed session in the same week or the week after in certain packages, the session is considered given.

d. Students must complete their courses before the time value(expiry) of the chosen package.

e. Changing the timing of the Group Sessions Program after scheduling the first session is sometimes impossible to keep the student progress going. In case the student decides that, The Music Mastery will try to re-assign another class to a similar level -if available-.

f. If the student cancels his private lesson at the last minute (on the same day of his lesson) the session will be considered given and no make-up lesson will be offered.

g. If the student cancels his private lesson last minutes because of an urgent and unexpected matter, he/she are required to make up for the missed lesson in the same week or the week after or else the lesson is considered given

h. If a student decides not to enter his group lesson, he/she is required to inform us before 24 hours so we will be able to add the missing information on his file during the session.

Failure to inform us could cause delay in your progress. No make up session will be given if the group class was missed to respect others time.

4. Class:

a. The presence of any person other than the professor and the student (like parents, friends...) is strictly forbidden during lesson hours unless authorized by the administration for certain reasons. (Young kids, special needs, discipline…).

b. It is strictly prohibited for both teacher and student, under ANY CIRCUMSTANCES, to exchange any contact details (private phone number, address, social media, etc…).

c. All communications for booking and rescheduling of lessons and making payments must be done from The Music Mastery support number. Teachers aren’t responsible for

timing, fees, expiration…Therefore, it’s STRICTLY FORBIDDEN for the student to discuss any package expiration, fees, or timing directly with the teacher.

d. The Music Mastery cannot be held responsible if communications are made directly with the teachers.

e. For better cooperation, we reserve the full right to record the sessions with the students. (All recordings are secure & won’t be used for advertisement purposes on

social media, unless authorized by the student). We just record to make sure everything is organized & clear with everyone!

5. Auditions:

a. By joining us, you understand that sometimes auditions/solo class performances happen to encourage our students and to show their talent. Our team may take photos and videos during lessons and performances, or homework sent to be used for marketing, social media and other publications as required.

b. In case of public auditions, The Music Mastery encourages any public appearance of students in their school, university or media (Radio, TV, Press, etc...). However, it is preferable to advise the school administration & the professor, to prepare the students for a good performance so they give a positive image of us.

6. Fees:

a. Registration fees will be paid before starting with the package, and then renewed once the package ends.

b. The fee varies according to the course, level, duration and subject.

c. Books are not included in the package fee.

d. Renewal of your package must be made a minimum of 2 weeks prior to the end of your current course or prior to that. We will send you a reminder of the expiration of your package to ensure that your place is reserved for the next sessions. All terms of The Music Mastery apply to the student with the renewal of his/her package.

e. The Music Mastery administration will be forced to suspend all lessons and to forbid access to class, as soon as the payment deadline date is not respected.

f. Paid tuition fees will not be reimbursed nor transferred to a third party for any reason. However, the student is allowed to substitute his selected package by another after the administration authorization.

7. Program Exams:

a. Students have to pass an exam 1 or 2 times each few months depending on their level

b. The Music Mastery management department reserves all rights to share anonymously the exam results as encouragement to other students.

c. Missing the exam date could result in delay of progress, the students' success department should receive clear exam results. Missing this test on purpose should be your own responsibility. (In case of an explained emergency, the administration will EXCEPTIONALLY re-schedule the student exam only ONCE).

d. Failure of presenting your exam could result in a temporary suspension of the course, so that the issue is fixed.

8. Student Privacy:

a. All information collected from the student is only accessible from the management & administration.

b. Exchanging your private information with other students or Music Mastery team members is STRICTLY forbidden (Including WhatsApp numbers, addresses, social media…) and could result with serious actions such as (permanent course suspension, investigation, temporary suspension of package, etc…)

c. Feedback provided will only be accessible from the management department.

d. Student progress will only be shared between: Student/Parents, Management Department & Teacher.

e. For better cooperation, we reserve the full right to record the session with the student while you’re aware of that. Recordings won’t be shared to public or social media unless in auditions or solo performance. (Or after student authorization in normal classes)

VIII. Class Rules

Violating these rules could cause serious consequences to you, such as permanent course suspension, temporary investigation, and will directly affect your results.

1. Join from a quiet room!

a. Don’t join from the car; from your friends/grandma home -unless necessary

b. Make sure no one disturb you during the lesson!

c. Go to the bathroom before joining to be Fresh for the lesson

d. Always be next to your Piano/Guitar before joining (For Instruments Students)!

e. Have your camera open to be always ready!

2. Your Notebook & your pen should be ALWAYS next to you to have everything clear! + All questions that you had during the week while you practiced.

3. Participate & don’t sit just listening to the explanation. Students with no questions, no participation, that just attend the class & sit just to listen, have a 200% more risk of not seeing results & shows that there might be a problem. We hate that to happen.

4. Time is important! Don’t wait till the last minute to ask your question, since the teacher might have to leave for another class!

5. Preferably to join from your laptop if available, if no, then use your phone.

6. Wear good clothes to be Fresh & Ready in class! Avoid joining in the Pyjama to look good in class!

7. If you have any question you forgot to ask in class, directly inform the administration to not forget about it. We will try our best to respond as soon as possible.

8. In class, if there's noise next to you, it’s preferable to move to another room, since the teacher might ask many questions that you should be attentive to.

9. Always join before 2 minutes of the class, late students are always students with lower results!

10. Be ready for some quizzes during the class from the teacher!

11. If you miss a class, make sure that you ask the teacher to recapitulate a little bit if possible so you can catch up! (Only in an emergency absence). Absent students do always have lower results (For Group Students)

12. If you don’t present your homework a minimum of 2 hours before the class, we won’t let you in unless you send it. (Since the class structure is based on that homework was sent)

13. If you miss a group class, no make up session will be made.

14. If you miss more than 1 group session each 2 weeks, we will remove our guarantee of improvement from your name.

15. If you miss more than 3 group sessions per 4 weeks, our system will automatically remove your name from the course.

IX. The Music Mastery Ownership and Proprietary Rights of Services and Content

1. We are the sole and exclusive copyright owners of the Services and the Content of Platforms (“Content”). We also exclusively own the copyrights, trademarks, service marks, logos, trade names, trade dress and other intellectual and proprietary rights throughout the world (the “IP Rights”) associated with the Services and The Music Mastery Content, which may be protected by copyright, patent, trademark, and other applicable intellectual property and proprietary

rights and laws.

2. You acknowledge that the Services contain original works and have been developed, compiled, prepared, revised, selected, and arranged by Us through the application of methods and tools

developed and applied through the expenditure of substantial time, effort, and money and constitutes the valuable intellectual property of The Music Mastery.

3. You further acknowledge that the Services may contain information which is designated as confidential by The Music Mastery and that You shall not disclose such information without The Music Mastery’s prior written consent such as training videos, recording of classes, photos of the lessons, material content

4. You agree to protect The Music Mastery’s proprietary rights and the proprietary rights during and after the term of this agreement and to comply with all reasonable written requests made by The Music Mastery of Services or Content or otherwise to protect Our legal rights in the Services.

5. You acknowledge and agree that The Music Mastery owns all legal right, title and interest in and to the Services, including any IP Rights which subsist in the Services (whether those rights happen to be registered or not, and wherever in the world those rights may exist). You further acknowledge that the Services may contain information which is designated as confidential by The Music Mastery and that You shall not disclose such information without The Music Mastery’s

prior written consent. Unless you have agreed otherwise in writing with The Music Mastery, nothing in the Terms gives You a right to use any of The Music Mastery’s trade names, trademarks, service marks, logos, domain names, and other distinctive brand features.

6. You agree not to use any framing techniques to enclose any trademark or logo or other proprietary information of The Music Mastery; or remove, conceal or obliterate any copyright or other proprietary notice or source identifier, including without limitation, the size, color, location or style of any proprietary mark(s). Any infringement shall lead to appropriate legal proceedings against You at an appropriate forum for seeking all available/possible remedies under applicable

laws of the country of violation. You cannot modify, reproduce, publicly display or exploit in any form or manner whatsoever any of The Music Mastery’s Services and Content in whole or in part except as expressly authorized by The Music Mastery.

X. Disclaimer of warranties, limitation of liability, and Indemnification

1. You acknowledge and agree that the services are provided “as is” and “as available” and that Your use of the services shall be at Your sole responsibility. The Music Mastery disclaims all warranties, express or implied, in connection with the Services and Your use of them. The Music Mastery makes no warranties or representations about the accuracy or completeness of the Services or Content and assumes no responsibility for any (i) errors, mistakes, or inaccuracies of

Content, (ii) personal injury or property damage, of any nature whatsoever, resulting from Your access to and use of Our Services, (iii) any unintentional delay in providing Our Services,

2. The Music Mastery will not be a party to or in any way be responsible for monitoring any transaction between you and third-party providers of products or services. You are solely responsible for all of Your communications and interactions with other users of the Services and with other persons with whom You communicate or interact as a result of Your use of the services. No advice or information, whether oral or written, obtained by You from The Music Mastery or through or from the Services shall create any warranty not expressly stated in the Terms.

3. You agree to indemnify, defend, and hold harmless The Music Mastery from and against any third-party claims, damages (actual and/or consequential), actions, proceedings, demands, losses, liabilities, costs, and expenses (including reasonable legal fees) suffered or reasonably incurred by Us arising as a result of, or in connection with: (i) Your unauthorized use of the Services, or products or services included or advertised in the Services; (ii) Your access to and

use of the Services; (iv) Your violation of any rights of another party; or (v) Your breach of these Terms, including, but not limited to, any infringement by You of the copyright or intellectual property rights of any third party. We retain the exclusive right to settle, compromise, and pay, without Your prior consent, any and all claims or causes of action which are brought against The Music Mastery.

XI. Terminating Your access to The Music Mastery Services

1. You can delete your account at any time by contacting us via WhatsApp.

2. We may terminate Your use of the Services and deny You access to the Services in Our sole discretion for any reason or no reason, including Your: (i) violation of these Terms; or (ii) lack of use of the Services, (iii) failure to settle any due Subscription Fee.

3. You agree that any termination of Your access to the Services may be affected without prior notice, and acknowledge and agree that we may immediately deactivate or delete Your account and all related information and/or bar any further access to Your account or to Our Services. Further, You agree that we shall not be liable to You or any third party for the discontinuation or termination of Your access to the Services.

XII. General terms

1. Entire Agreement and Waiver:

The Terms shall constitute the entire agreement between You and The Music Mastery concerning the Services. No failure or delay by The Music Mastery in exercising any right or power under the Terms shall operate as a waiver of such right or acceptance of any variation of the Terms and nor shall any single or partial exercise by either Party of any right or power prevent any further exercise of that right or the exercise of any other right or power.

2. Interpretation:

The section and subject headings in these Terms, as well as the words with upper cases, are included for reference only and shall not be used to interpret any provisions of these Terms.

3. Severability:

If any provision of these Terms is deemed unlawful, invalid, or unenforceable by a judicial court for any reason whatsoever, then that provision shall be deemed removed from these Terms. The remainder of the Terms shall continue in full force and effect.

4. Parties’ Relationship:

None of the provisions of these Terms shall be deemed to constitute a partnership or agency between You and The Music Mastery, and You shall have no authority to bind The Music Mastery in any form or manner, whatsoever.

5. Governing Law/Waiver:

These Terms shall be governed in all respects by the laws of Lebanon. You agree that any claim or dispute you may have against The Music Mastery must be resolved exclusively by one Arbitrator appointed in accordance with the Rules of Arbitration at the Beirut Chamber of Commerce and Industry in Lebanon . The Place of Arbitration shall be Beirut and the Language of Arbitration shall be English.

6. Carrier Charges may apply:

By accessing the Services through a mobile or other devices, You may be subject to charges by Your internet or mobile service provider; as such, You shall be solely responsible for any such costs incurred or charges applied.
